PURPOSE: The purpose of this memo is to request approval of the Amended and Restated Chilled Water Service Agreement between Orlando Utilities Commission (OUC) and Orange County for the provision of chilled water service to the Orange County Convention Center (OCCC).  The agreement for chilled water services approved by the Board in June 2025 stipulated that OUC conduct a Request for Proposal (RFP) process for construction of a new chilled water plant to service the OCCC. It additionally stipulated options available to the County if the bids resulting from the RFP exceeded a value of $55,983,812.  In January 2026, OUC presented the results of their RFP to OCCC staff with the price of the responsive bidder being $66,120,956. OCCC staff evaluated potential options to mitigate cost when presented with this RFP result and recommend amending the agreement that was approved in June 2025 to remove the portion of the scope that includes the refurbishment of the North Chilled Water plant, which is not critical at this time.  The resulting amended agreement will continue to include the construction of a new chilled water plant off OCCC property and the decommissioning of the existing Central Energy Plant on OCCC property. These changes are expected to keep the capital cost of the agreement below the not-to-exceed value of $55,983,812.  It is the OCCC’s intention to bring a new chilled water agreement forward at a later date that will resolve the renovations needed at the existing North Chilled Water plant.
