PROJECT: Termination Agreement for Hold Harmless and Indemnification Agreement (Model Homes Permits for The Palms at Waterford).
PURPOSE: The subject property for this request is located within the Subdivision Plat for the Palms at Waterford Lakes, located east of Hancock Lone Palm Road between Thatch Palm Way and Thamhall Way.
Through this request, the subject property owner is seeking approval and execution of a Termination Agreement terminating a Hold Harmless and Indemnification Agreement for Model Homes Permits. The Hold Harmless and Indemnification Agreement (“Original Agreement”) was executed between the subject property owner and Orange County on April 12, 2024 and recorded on April 19, 2024. The Original Agreement allows for the County’s issuance of permits to construct four model homes on the subject property prior to plat recordation, subject to certain terms and conditions including indemnifying and holding the County harmless.
Following execution of the Original Agreement, four model home permits were submitted, however they were never issued and the applications subsequently expired. No model homes were constructed on the subject property. The subdivision plat for the subject property was recorded in the Public Records on January 14, 2026 at Plat Book 120, Page 7. Because no model homes were constructed and the plat has been approved and recorded, the Original Agreement has been rendered moot and is no longer necessary.
The County Attorney’s Office and the Zoning Division have reviewed the document and found it acceptable as to form. Staff recommends approval and execution of the document.
