Approval and Execution of First Amendment to Hold Harmless and Indemnification Agreement for Fifty South Student Housing

 

PURPOSE: On January 23, 2024, the Development Review Committee approved a Hold Harmless and Indemnification Agreement to allow construction of the project to commence prior to final plat approval and recordation. As a condition of that agreement, Orange County agreed that no temporary or permanent certificate of occupancy would be issued until the plat had been approved and recorded. 

The project is nearing completion, and the property owner has requested a limited amendment to the agreement to allow the issuance of a Temporary Certificate of Occupancy for installing, stocking, furnishing, and outfitting necessary to ready the student housing facility. No residential occupancy will be permitted under the Temporary Certificate of Occupancy for stocking activities. 

The proposed First Amendment provides a limited exception to the certificate of occupancy restriction contained in the original agreement while preserving all other terms, conditions, and indemnification provisions of the Hold Harmless and Indemnification Agreement. The property owner will continue to assume all risks associated with proceeding prior to final plat recordation and will remain responsible for satisfying all applicable platting requirements.
